The terms that govern your use of Knowiz.

Knowiz Terms of Service

These Terms of Service govern your use of the website located at https://www.knowiz.ai/ and the Knowiz Service.

Knowiz is a product of Allyce AI Ltd., a private limited company incorporated in Ireland. In these Terms, “Knowiz”, “we”, “us”, and “our” refer to Allyce AI Ltd. operating the Knowiz brand. “You” refers to the individual or organisation accessing the Service.

By accessing https://www.knowiz.ai/ or using the Service, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the website or the Service.

We reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Limitations of Use

By using this website or the Service, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software contained in the Service;
  • remove any copyright or other proprietary notations from any materials or software in the Service;
  • transfer the materials to another person or “mirror” the materials on any other server;
  • knowingly or negligently use the Service in a way that abuses or disrupts our networks or any other service Knowiz provides;
  • use the Service to transmit, generate, or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  • use the Service in violation of any applicable laws or regulations;
  • use the Service in conjunction with sending unauthorised advertising or spam;
  • harvest, collect, or gather user or end-user data without consent; or
  • use the Service in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in the Service is owned by or licensed to Allyce AI Ltd. and is protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a licence, not a transfer of title. This licence shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Knowiz at any time.

Your Content

You retain all intellectual property and ownership rights over the content you submit, upload, or otherwise provide to Knowiz — including your knowledge base sources (websites, documents, FAQs, internal materials), agent configurations, and conversation transcripts (collectively, “Your Content”). We claim no ownership of Your Content.

To operate the Service for you, you grant Knowiz a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, index, vectorise, embed, and display Your Content solely as necessary to provide the Service to you and your designated end users. This licence is limited to the operation of the Service and does not extend to any other use.

Specifically, we will not:

  • use Your Content to train any general-purpose AI model, ours or any third party’s;
  • sell, rent, or licence Your Content to any third party;
  • share Your Content with third parties other than the sub-processors required to deliver the Service (such as our LLM provider, hosting provider, and payment processor), and only to the extent necessary for that delivery; or
  • publicly display Your Content except through the agents you explicitly configure to do so.

You may terminate this licence at any time by deleting Your Content or your account. Following termination, we will delete or anonymise Your Content within a reasonable period, subject to any retention obligations under applicable law.

You are responsible for ensuring that you have the rights necessary to upload Your Content to Knowiz and to grant the licence above. You represent and warrant that Your Content does not infringe the intellectual property or privacy rights of any third party.

Disclosing AI Processing to Your End Users

When you deploy a Knowiz agent that interacts with end users (your customers, prospects, or other third parties), you are responsible for disclosing to those end users — in your own privacy notice or terms — that their interactions are processed by an AI system and by third-party AI providers, including our LLM provider, in accordance with applicable data-protection law.

On request, we will provide sample disclosure language you can adapt. You remain responsible for ensuring your own privacy notice accurately reflects your processing.

AI Outputs and Limitations

Knowiz uses large language models — currently Google Gemini — to generate responses based on Your Content and the inputs provided by end users. AI-generated outputs are probabilistic and may be inaccurate, incomplete, or misleading, even when grounded in Your Content. You acknowledge and agree that:

  • AI outputs are not professional advice (legal, medical, financial, or otherwise) and should not be relied upon as such by you or your end users;
  • You are responsible for configuring your agents — including escalation rules, refusal policies, and required disclosures — to fit your use case and applicable regulation;
  • You are responsible for the content your agents produce and surface to your end users;
  • We do not warrant that AI outputs will be accurate, current, complete, fit for any particular purpose, or free of error.

Acceptable Use

You may not use the Service, and may not permit your end users or any third party to use the Service, to:

  • generate, transmit, or facilitate illegal content, including child sexual abuse material (CSAM);
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • generate or disseminate false, misleading, or harmful information with the intent to deceive;
  • provide regulated professional advice (medical, legal, financial, tax, or similar) without holding the necessary licences and appropriately disclosing the advisory nature of the output;
  • harvest or scrape data from third parties without authorisation;
  • attempt to reverse engineer, jailbreak, or circumvent the safety mechanisms of the Service or its underlying AI models;
  • generate spam, unsolicited bulk communications, or unauthorised advertising;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Service or related systems; or
  • use the Service in violation of any applicable law, regulation, or third-party right.

We may suspend or terminate your account for material violations of this Acceptable Use Policy, immediately and without prior notice if the violation poses a security, legal, or reputational risk to us or to others.

Service Availability

We will use commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted, error-free, or always-available access. Scheduled maintenance, third-party outages (including LLM-provider outages), and circumstances beyond our reasonable control may affect availability.

Indemnification

By Customer. You will defend, indemnify, and hold harmless Knowiz, Allyce AI Ltd., and our affiliates, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and reasonable legal fees arising out of or relating to: (a) Your Content, including any claim that Your Content infringes the intellectual property, privacy, or other rights of a third party; (b) your use of the Service in violation of these Terms or any applicable law; (c) your violation of the Acceptable Use Policy; or (d) the configuration, deployment, or operation of agents you have built using the Service.

By Knowiz. We will defend, indemnify, and hold harmless Customer from and against any third-party claim that the Service itself (excluding Your Content, Customer’s configuration of the Service, and outputs generated by AI models in response to Customer’s inputs) infringes the intellectual property rights of that third party.

Process. The indemnified party must (a) promptly notify the indemnifying party of any claim in writing, (b) give the indemnifying party sole control of the defence and settlement (provided no settlement imposes any liability on the indemnified party without their consent), and (c) provide reasonable cooperation. Indemnity obligations are subject to the Limitation of Liability Cap below.

Liability

The Service and its materials are provided on an “as is” basis. To the extent permitted by law, Knowiz makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other rights.

In no event shall Knowiz or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use of, or inability to use, the Service, even if Knowiz or an authorised representative has been notified of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use, and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Limitation of Liability Cap

To the maximum extent permitted by law, and except for either party’s indemnification obligations or liability arising from wilful misconduct or fraud, each party’s total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the fees paid by Customer to Knowiz in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred euros (€100) for users on free or trial plans.

This cap applies regardless of the form of action — whether in contract, tort, strict liability, or otherwise — and even if a party has been advised of the possibility of such damages.

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. Knowiz does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website or otherwise relating to such materials or on any resources linked to this website.

Knowiz has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Knowiz of the site. Use of any such linked site is at your own risk, and we strongly advise you to make your own investigations with respect to the suitability of those sites.

Right to Terminate

Either party may terminate these Terms of Service:

  • For material breach by the other party, provided the breaching party has been given 30 days’ written notice of the breach and has failed to cure within that period; or
  • Immediately upon written notice for: (i) violations of the Acceptable Use Policy, (ii) non-payment of fees more than 15 days past due, (iii) any security, legal, or reputational risk to us or to third parties, or (iv) the other party’s insolvency, bankruptcy, or assignment for the benefit of creditors.

Customer may also terminate at any time by closing their account. Prepaid fees are non-refundable except as required by applicable law or where Customer terminates for our uncured material breach.

On termination, Customer’s right to access the Service ends. We will delete or anonymise Your Content within 30 days of termination, subject to the retention provisions of the Privacy Policy.

Force Majeure

Neither party will be liable for failure or delay in performance under these Terms to the extent caused by circumstances beyond its reasonable control — including (without limitation) acts of God, natural disasters, war, terrorism, civil unrest, government or regulatory actions, internet or telecommunications failures, and third-party service provider outages (including LLM-provider outages). The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as practicable.

Notices

Notices to Knowiz under these Terms must be sent in writing to [email protected]. Notices to Customer will be sent to the email address associated with the Customer’s account. Customer is responsible for keeping that email address current. Notices will be deemed received on the next business day after sending.

Entire Agreement

These Terms of Service, together with the Privacy Policy and any Data Processing Addendum signed between the parties, constitute the entire agreement between Customer and Knowiz with respect to the Service, and supersede all prior or contemporaneous agreements, understandings, or representations on the subject matter. No modification to these Terms is effective unless made in writing and signed by both parties or posted by Knowiz to the website.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. You irrevocably submit to the exclusive jurisdiction of the courts in that jurisdiction.
